FirstCry parent Brainbees acquires KA Hygiene for Rs 58 crore

Brainbees said the deal is a related-party transaction but was done at arm’s length. It added that group companies have no interest in KA Hygiene beyond existing shareholding and common directors. The transaction is expected to close by December 31, 2025.

Pune-based Brainbees Solutions, the parent company of FirstCry, announced that it has acquired K.A. Enterprises (Hygiene) Private Limited through its subsidiary, Swara Baby Products Private Limited. 

This move strengthens the company’s presence in the hygiene and disposable products segment.

In a regulatory filing on December 23, Brainbees said its subsidiary Swara Baby signed a share subscription agreement and a share purchase agreement on December 22, 2025, to acquire full (100%) ownership of KA Hygiene from its existing shareholders.

The deal will be done through a share swap, with Swara Baby issuing 38,49,572 equity shares to the sellers. No cash will be paid.

The acquisition is valued at ₹57.74 crore. After the share issuance, Brainbees’ stake in Swara Baby will fall from 87.29% to 75.92%. Once the deal is completed, KA Hygiene will become a wholly owned subsidiary of Swara Baby and an indirect subsidiary of Brainbees, which will hold 75.92% indirect control.

KA Hygiene was set up on July 31, 2019, and makes and sells hygiene products. Before this deal, KA Hygiene took over the entire business of K.A. Enterprises, a related company operating in the same segment.

On a consolidated basis, including the acquired business, the hygiene unit reported revenue of ₹84.01 crore in FY25, ₹80.42 crore in FY24, and ₹58.45 crore in FY23, with a profit after tax of ₹5.22 crore in FY25. KA Hygiene has only recently started standalone operations, so its own revenue, profit, and net worth are currently very small.

Brainbees said the deal is a related-party transaction but was done at arm’s length. It added that group companies have no interest in KA Hygiene beyond existing shareholding and common directors. The transaction is expected to close by December 31, 2025.

The acquisition supports Brainbees’ plan to grow its hygiene products business alongside its core baby and childcare offerings.

Separately, Brainbees has set up Swara Corp in the US through Swara Baby Products as part of its overseas expansion in hygiene and disposable products.

Recently, Brainbees reported consolidated revenue of ₹2,099 crore in Q2 FY26 and a positive EBITDA of ₹111 crore for the same quarter.
