InCred Holdings Files Papers With SEBI Through Confidential Pre-Filing Route

InCred Holdings, part of NBFC InCred Financial Services, has filed preliminary papers with SEBI via the confidential pre-IPO route. Sources estimate the proposed issue size at ₹3,000–4,000 crore.

In a public statement on Sunday, InCred Holdings said it has submitted the pre-filed draft red herring prospectus (DRHP) with SEBI and stock exchanges for its proposed IPO of equity shares on the main board.

The filing comes as Bhupinder Singh-founded InCred Group aims to tap capital markets following strong FY25 financial performance and a diversified lending portfolio, including personal loans, student loans, specialised MSME loans, secured business loans, and loans to financial institutions.

Founded in 2011 by Bhupinder Singh, InCred Holdings is part of InCred Group, which comprises three verticals: lending (InCred Finance), institutional wealth and asset management (InCred Capital), and retail wealthtech and investment distribution (InCred Money).

In FY25, InCred Finance’s operating revenue surged 47% to ₹1,871.9 crore from ₹1,269.9 crore in FY24, while net profit grew 18% to ₹374 crore from ₹316.4 crore.

The company has chosen the confidential pre-filing route, allowing it to delay public disclosure of IPO details under the DRHP, a path increasingly popular among Indian firms seeking IPO flexibility.
